Terms of Service
Effective October 18, 2026
These Terms of Service ("Terms") are an agreement between you and Replybeat ("Replybeat", "we", "us") and govern your use of the Replybeat website and application (the "Service"). If you use the Service for a company, you agree to these Terms on its behalf and confirm you have authority to do so; "you" then means that company. By creating an account or using the Service, you accept these Terms and our Privacy Policy.
1. The Service
Replybeat lets you connect your own email mailboxes (such as Google Workspace, Gmail or Microsoft 365), import contacts, and send and manage email campaigns and follow-up sequences from those mailboxes, including warmup, sending limits, reply and bounce detection, unsubscribe handling and reporting. We may change, add or remove features over time. Some features may be labeled beta or early access and are provided as-is.
2. Accounts
- You must be at least 18 and provide accurate account information.
- You are responsible for keeping your login secure and for all activity in your workspace, including by team members you invite.
- Tell us promptly at support@replybeat.com if you suspect unauthorized access.
3. Connected mailboxes and third-party services
When you connect a mailbox, you authorize Replybeat to send email from it and to read it as described in our Privacy Policy. You must own or be authorized to use every mailbox and sending domain you connect. Your use of Google, Microsoft and other third-party services is also subject to their own terms and policies, and those providers may limit, suspend or revoke access independently of us. We are not responsible for third-party services.
4. Your responsibilities and acceptable use
You are solely responsible for the emails you send and the contacts you email. You agree to:
- Comply with all applicable laws, including the U.S. CAN-SPAM Act, Canada's Anti-Spam Legislation (CASL), the GDPR and other privacy, marketing and anti-spam laws that apply to you and your recipients.
- Only email people you have a lawful basis to contact, and obtain and keep any consent the law requires (for example, express or implied consent for Canadian recipients).
- Use accurate sender information and subject lines, include a valid physical postal address where required, and honor unsubscribe requests promptly. Replybeat adds an unsubscribe link and maintains a suppression list; you must not remove or work around them.
- Respect the sending limits and warmup settings of the Service and of your email provider.
You must not use the Service to:
- Send spam, phishing, malware, or deceptive, fraudulent, harassing or illegal content.
- Email purchased, rented, scraped or harvested lists where that violates law or your email provider's policies.
- Impersonate any person or organization, or misrepresent your affiliation.
- Send content that infringes others' intellectual property or privacy rights.
- Probe, scan, overload or interfere with the Service, or try to access other customers' data.
- Resell or provide the Service to others without our written permission.
We may monitor sending health (such as bounce and complaint rates) and may pause mailboxes, campaigns or accounts that appear to violate these Terms or put deliverability or our infrastructure at risk.
5. Your content
You keep all rights to the contacts, templates and other content you put into the Service ("Customer Content"). You grant us a limited license to host, process and transmit Customer Content only as needed to provide, secure and support the Service. You are responsible for having the rights and consents needed to provide Customer Content to us. We handle personal information as described in our Privacy Policy.
6. Fees
Some features may require a paid plan. If you subscribe, you agree to pay the fees shown at checkout. Unless stated otherwise, subscriptions renew automatically until cancelled, fees are non-refundable except where required by law, and we may change prices with at least 30 days' notice before your next billing period.
7. Suspension and termination
You may stop using the Service and close your workspace at any time. We may suspend or terminate your access if you breach these Terms, create risk or legal exposure for us or others, or if required by law. When your workspace is closed, we will delete Customer Content as described in our Privacy Policy. Sections that by their nature should survive (including 5, 8, 9, 10 and 11) survive termination.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT EMAILS WILL BE DELIVERED, REACH THE INBOX, OR PRODUCE ANY PARTICULAR RESULT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, REPLYBEAT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100.
10. Indemnity
You will defend and indemnify Replybeat against claims, losses and costs (including reasonable attorneys' fees) arising from your Customer Content, the emails you send, or your violation of these Terms or of law.
11. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be brought exclusively in the state and federal courts located in California, and both parties consent to their jurisdiction. Before filing a claim, you agree to contact us at support@replybeat.com and try to resolve it informally for 30 days.
12. Changes to these Terms
We may update these Terms. For material changes, we will notify account owners by email or in the app at least 15 days before they take effect. Continuing to use the Service after that means you accept the updated Terms.
13. General
These Terms are the entire agreement between you and us about the Service. If any part is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in a merger, acquisition or sale of assets.
